These Terms and Conditions ("Terms") are between you, the customer, and U-wifi, Inc. ("U-wifi," "we," "us," or "our") and govern your purchase and use of U-wifi Internet access, connectivity, equipment, software, applications, and related services that U-wifi makes available to you (individually and collectively, the "Services"). These Terms apply together with any applicable service order, plan description, order confirmation, promotional terms, Acceptable Use Policy, Privacy Policy, Internet Transparency Statement, equipment terms, and other policies expressly incorporated into these Terms (collectively, the "Service Documents"). You must accept these Terms as a condition of receiving the Services. "You" and "your" mean the person or entity purchasing or using the Services. If a Service Document conflicts with these Terms, the more specific Service Document will control with respect to the subject matter of that document, unless applicable law requires otherwise. U-wifi will comply with applicable federal, state, and local law to the extent such law applies to U-wifi and the Services. If these Terms conflict with applicable law, applicable law controls to the extent of the conflict.

General Terms

Legal Authority. You must be at least 18 years old and have legal capacity to purchase the Services. If you accept these Terms for an entity, you represent that you have authority to bind that entity. All use of the Services through your account, whether or not specifically authorized by you, will be treated as use by you, subject to applicable law.

Acceptance. By ordering, enrolling in, activating, using, or paying for the Services, you agree to these Terms and the applicable Service Documents. If you do not agree, do not activate or use the Services and promptly cancel in accordance with Section 9.

Updates. U-wifi may update these Terms and the Service Documents from time to time. The current versions will be posted on the U-wifi website. When required by applicable law, or when a change materially and adversely affects your Services, U-wifi will provide notice before the change becomes effective. Your continued use of the Services after the effective date of an update constitutes acceptance of the updated terms to the extent permitted by law.

1. Important Terms

Use of the Services is subject to the U-wifi Acceptable Use Policy ("AUP"), Privacy Policy, Internet Transparency Statement, and any applicable Service Order or plan description, each as updated from time to time in accordance with these Terms and incorporated herein by reference. The Privacy Policy describes U-wifi’s collection, use, disclosure, and other processing of information, including information used in connection with any optional Targeted Marketing Program. Your U-wifi account ("Account") may include information regarding your Services, Equipment, billing, payments, usage, Credits, and other account information. The Services provide Internet access and related connectivity and functionality. Unless U-wifi expressly agrees otherwise in a separate written agreement, the Services do not include a U-wifi-provided voice telephone service, interconnected VoIP service, telephone number, 911 or E911 calling service, or video programming service.

2. Self-Installation and Gateway Placement

2.1 Self-Installation

The Services are designed for customer self-installation. U-wifi will provide or make available a Gateway that you are responsible for connecting, activating, and placing at your premises in accordance with instructions provided by U-wifi. Unless U-wifi expressly agrees otherwise, U-wifi does not provide or undertake installation of the Gateway at your premises.

2.2 Gateway Placement and Signal Quality

The quality and performance of the Services depend in part on the location and placement of the Gateway and the strength and quality of the available wireless signal. Signal strength may vary significantly within a home, office, building, or other premises because of location, building construction, walls, windows, obstructions, interference, surrounding structures, network conditions, and other factors outside U-wifi’s control. You are responsible for determining a suitable location for the Gateway. This may require testing the Gateway in multiple locations within the premises to identify a location that provides an acceptable wireless signal and Service performance. U-wifi may provide instructions, recommendations, applications, tools, or technical support to assist with Gateway placement, but you remain responsible for the final location and placement of the Gateway.

2.3 Service Performance

U-wifi does not guarantee that the Gateway will receive the same signal strength or provide the same Service performance at every location within the premises. Service speeds and performance may be adversely affected by Gateway placement, wireless signal conditions, building characteristics, interference, customer devices, Wi-Fi conditions within the premises, and other factors. A reduction in signal strength, speed, or Service performance resulting from the location or placement of the Gateway, conditions within or surrounding the premises, or other circumstances outside U-wifi’s reasonable control does not constitute a failure by U-wifi to provide the Services.

2.4 Customer-Owned Devices and Internal Wi-Fi

You are responsible for connecting and configuring your computers, mobile devices, televisions, smart-home devices, and other customer-owned equipment for use with the Gateway. U-wifi does not guarantee the performance, compatibility, or Wi-Fi connectivity of customer-owned devices or the performance of Wi-Fi within every area of the premises.

3. Fees and Charges

Agreement to Pay. You agree to pay all charges associated with your Account, including recurring service charges, nonrecurring charges, Equipment charges, installation or service charges, and applicable taxes, governmental fees, surcharges, and assessments. U-wifi may separately state or pass through taxes, fees, surcharges, or assessments that U-wifi pays or is required or permitted to collect in connection with the Services.

Late Payments and Returned Payments. If payment is not received when due, U-wifi may assess a late charge or returned-payment charge to the extent disclosed to you and permitted by law. U-wifi may use lawful collection remedies for past-due amounts. You agree to pay reasonable collection costs and attorneys’ fees to the extent permitted by applicable law.

Changes to Fees and Charges. U-wifi may change rates, fees, or charges or introduce new charges upon any notice required by applicable law or the applicable Service Document. Promotional or bundled pricing may end if the promotion expires, eligibility requirements are no longer satisfied, or you change or discontinue a qualifying Service.

4. Billing and Payments

Advance Payments and Deposits. U-wifi may require a deposit, advance payment, or valid payment method before or during the provision of Services. U-wifi may apply deposits or advance payments to amounts you owe. No interest will be paid unless required by law. U-wifi may establish reasonable account or usage limits and may suspend affected Services if amounts due exceed an established limit.

Billing Cycle. Billing begins when the applicable Service is activated or otherwise made available for use, unless your Service Order provides otherwise. Recurring charges generally are billed in advance. Nonrecurring charges generally are billed after they are incurred. Partial billing periods may be prorated when appropriate.

Automatic Payment. If you enroll in automatic payment, you authorize U-wifi and its payment processor to charge the payment method associated with your Account for amounts due. You are responsible for maintaining accurate and current payment information and may revoke automatic payment as permitted by the applicable payment terms and law.

Cancellation. Upon termination, you remain responsible for charges incurred through the effective termination date and for any unreturned or damaged Equipment. Credits or refunds for prepaid recurring service charges will be provided only as stated in the applicable Service Document or as required by law.

Billing Method. U-wifi may provide bills, receipts, and account notices electronically using the email address or other electronic contact information associated with your Account. Paper billing, if available, may be subject to an additional charge disclosed to you.

Billing Disputes. If you believe a charge is incorrect, notify U-wifi within sixty (60) days after the applicable billing date, unless applicable law requires a longer period. Failure to notify U-wifi within that period may waive the dispute to the extent permitted by law.

Promotions. Discounts, promotional pricing, credits, features, rewards, or other promotional benefits may be subject to separate eligibility requirements, duration limits, and promotional terms. Unless otherwise stated, standard rates may apply when a promotion ends or you cease to qualify.

Service Credits. U-wifi may offer customers opportunities to earn credits that may be applied toward the cost of eligible Services ("Credits"). The amount, availability, timing, expiration, redemption, and other conditions applicable to Credits may be described in the applicable Service Document, U-wifi application, website, promotional materials, or other disclosures presented when the opportunity is offered. Credits have no cash value, are not transferable, may not be redeemed for cash, and may be applied only as permitted by U-wifi. Credits do not reduce or excuse amounts otherwise due unless and until the Credits are actually applied to your Account.

Optional Targeted Marketing Program. U-wifi may offer Credits to customers who voluntarily choose to participate in a program that provides personalized or targeted marketing, advertising, offers, or recommendations (the "Targeted Marketing Program"). If you affirmatively elect to participate, you acknowledge and agree that U-wifi may use information associated with your Account, use of the Services, devices, interactions with U-wifi, and other information described in the U-wifi Privacy Policy to select, personalize, measure, and deliver marketing, advertising, offers, or recommendations to you, subject to applicable law and the Privacy Policy. Participation in the Targeted Marketing Program is optional and is not a condition of purchasing or receiving the underlying Internet Service. You may withdraw from the Targeted Marketing Program using the method U-wifi makes available. Withdrawal will not affect Credits already validly earned unless the applicable Credit terms expressly provide otherwise, but you may cease earning future Credits associated with participation after withdrawal. Your election to participate constitutes your acknowledgment and acceptance of the targeted marketing practices disclosed to you at the time of enrollment and in the Privacy Policy. Where applicable law requires a separate consent, opt-in, opt-out right, or other disclosure for a particular use of information, U-wifi will provide that choice or disclosure separately.

5. Equipment and Lifetime Gateway Program

5.1 Equipment Generally

The Services require and include a U-wifi gateway, router, modem, antenna, SIM, power supply, accessory, or other equipment provided by U-wifi (collectively, “Equipment”). Unless U-wifi expressly agrees otherwise in writing, all Equipment provided by U-wifi remains the sole property of U-wifi at all times. Payment of any service charge, lease charge, deployment fee, activation fee, access fee, or other amount associated with Equipment does not constitute a purchase of the Equipment or transfer title or ownership to you. You are responsible for providing electrical power and other facilities reasonably necessary for operation of the Equipment. U-wifi may remotely configure, manage, diagnose, update, secure, and maintain U-wifi-provided Equipment when reasonably necessary to provide, protect, troubleshoot, maintain, or improve the Services. U-wifi may collect operational, diagnostic, network-performance, and device information in accordance with its Privacy Policy.

5.2 Lifetime Gateway Program

Certain U-wifi gateways are provided under U-wifi’s Lifetime Gateway Program. Under the Lifetime Gateway Program, U-wifi retains ownership of the Gateway and grants you a limited right to possess and use the Gateway for so long as you continuously maintain the qualifying U-wifi Service, subject to these Terms. For purposes of the Lifetime Gateway Program, “lifetime” means the period during which you continuously maintain the applicable qualifying U-wifi Service. “Lifetime” does not refer to your lifetime or to the physical or useful life of any particular Gateway and does not create any right to acquire ownership of a Gateway.

5.3 Residential Lifetime Gateway Lease

For residential Services participating in the Lifetime Gateway Program, U-wifi leases the Gateway to you for the duration of your qualifying U-wifi Service. Unless otherwise stated in your Service Order or plan, your right to possess and use the Gateway is included in the recurring charge for the Service, and no separate recurring Gateway lease charge applies. During your qualifying Service, U-wifi may repair, replace, exchange, or upgrade a Gateway that U-wifi determines is defective, obsolete, incompatible with the U-wifi network, or otherwise requires replacement for continued provision of the Service. Replacement or upgrade of a Gateway does not transfer ownership of either the original or replacement Gateway to you.

5.4 Business Gateway Deployment and Right of Use

U-wifi may provide a Gateway to a business customer in exchange for a one-time Gateway Deployment Fee or other equipment-related fee identified in the applicable Service Order. The Gateway Deployment Fee compensates U-wifi for the deployment, provisioning, configuration, activation, and continuing availability of the Gateway for use with the applicable U-wifi Service. The Gateway Deployment Fee is not a purchase price, installment payment, or financing payment and does not transfer title or ownership of the Gateway to the business customer. Regardless of the amount of the Gateway Deployment Fee or the length of time the customer receives the Services, the Gateway remains the property of U-wifi. Upon payment of the applicable Gateway Deployment Fee, U-wifi grants the business customer a limited right to possess and use the Gateway solely in connection with the applicable U-wifi Service for so long as the business customer continuously maintains that Service. Unless otherwise authorized by U-wifi, the Gateway may be used only at the authorized service location or locations identified in the applicable Service Order.

5.5 Replacement, Upgrades, and Technology Changes

U-wifi may repair, replace, exchange, upgrade, reconfigure, or require the return of Equipment when reasonably necessary to maintain, secure, improve, modify, or continue providing the Services or the U-wifi network. U-wifi may provide replacement Equipment that is new or refurbished and need not provide the same make, model, or version, provided the replacement Equipment is reasonably suitable for the applicable Service. Any replacement or upgraded Equipment provided by U-wifi remains U-wifi property and is subject to these Terms. Repair, replacement, reset, reconfiguration, or software updates may alter settings or delete information stored locally on the Equipment.

5.6 Customer Responsibilities and Restrictions

You must exercise reasonable care in the possession and use of U-wifi-owned Equipment. You may not sell, assign, lease, sublease, transfer, pledge, encumber, dispose of, open, materially alter, reverse engineer, intentionally damage, or remove or alter ownership, serial-number, or identification markings from U-wifi-owned Equipment. You may not use the Equipment with another service provider or for a purpose not authorized by U-wifi. You are responsible for loss, theft, destruction, or damage to U-wifi-owned Equipment beyond ordinary wear and tear to the extent caused by your misuse, intentional act, unauthorized modification, or negligence. U-wifi may charge you its then-current repair or replacement charge in those circumstances, subject to applicable law. Unless otherwise expressly agreed by U-wifi, U-wifi is not responsible for supporting customer-owned equipment, third-party devices, applications, wiring, or networks, and U-wifi does not guarantee that customer-owned or third-party equipment will be compatible with the Services.

5.7 Termination and Return of Equipment

Your right to possess and use U-wifi-owned Equipment ends when the associated Service terminates or when U-wifi replaces the Equipment and requests return of the replaced Equipment. Upon termination of the applicable Service, you must return all U-wifi-owned Equipment required to be returned within fifteen (15) days after termination, unless a different return period is stated in the applicable Service Order or other Service Document. U-wifi will provide reasonable instructions for returning Equipment. If you fail to timely return Equipment, U-wifi may charge you the applicable unreturned-equipment charge or then-current replacement value of the Equipment, subject to applicable law. Payment of an unreturned-equipment, loss, damage, or replacement charge does not transfer ownership or title to the Equipment unless U-wifi expressly agrees otherwise in writing. U-wifi retains any rights it may have to recover its Equipment.

5.8 No Purchase or Rent-to-Own Right

Except where U-wifi expressly sells particular Equipment to you under a separate written agreement, the provision of Equipment under these Terms is a lease, license, deployment, or right-of-use arrangement, as applicable, and is not a sale, installment sale, financing arrangement, or rent-to-own program. No period of possession, amount of payments, or payment of a Gateway Deployment Fee creates an ownership interest in U-wifi-owned Equipment.

6. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless U-wifi and its affiliates, officers, directors, employees, agents, and contractors from third-party claims, damages, liabilities, and reasonable costs and attorneys’ fees arising from (a) your unlawful or unauthorized use of the Services; (b) your material violation of these Terms or the AUP; (c) content, data, devices, or networks you connect to or transmit through the Services; or (d) your violation of another person’s rights. This obligation does not apply to the extent a claim results from U-wifi’s negligence, willful misconduct, or violation of law.

7. Service Availability, Network Management, and Modifications

The Services may be unavailable, interrupted, slowed, or otherwise affected by maintenance, upgrades, power failures, Internet or upstream-provider outages, wireless conditions, signal obstruction, network congestion, equipment failures, weather, emergencies, governmental actions, acts of third parties, force majeure events, or other circumstances. Wireless performance and coverage may vary by location, building characteristics, device, network conditions, and other factors. U-wifi may engage in reasonable network management and security practices consistent with applicable law and the U-wifi Internet Transparency Statement and AUP. U-wifi may modify network architecture, technologies, features, coverage, or methods of providing the Services as reasonably necessary to operate, maintain, secure, improve, or evolve the Services.

High-Usage Network Management. Unless a different threshold or treatment is stated in the applicable Service Document, if downloads associated with your Account exceed one (1) terabyte (1 TB) during a Service Period, U-wifi may temporarily reduce, prioritize, or otherwise manage the speed of your Internet Service for the remainder of that Service Period as a reasonable network-management measure. Any speed limitation will apply only as described in the applicable Service Document and U-wifi Internet Transparency Statement and will reset at the beginning of the next Service Period. "Service Period" means the recurring billing or usage-measurement period applicable to your Service. U-wifi may provide notice when your usage approaches or exceeds the applicable threshold. This provision does not guarantee that any particular speed will be available before or after the threshold is reached. Except as expressly provided in an applicable Service Document or required by law, U-wifi does not guarantee continuous or error-free availability, a particular latency, or that actual speeds will equal advertised maximum or estimated speeds at all times. Any service credits will be governed by the applicable Service Document.

8. Account and Network Security

Customer Responsibility. You are responsible for maintaining the confidentiality of passwords, credentials, and other Account identifiers and for taking reasonable measures to secure your devices and local network. Notify U-wifi promptly if you become aware of unauthorized access to your Account or theft of U-wifi-owned Equipment.

Account Access. U-wifi may rely on authentication information and other reasonable methods to verify the identity or authority of a person requesting Account information or changes. You are responsible for keeping Account contact information current.

Security Risks. Internet access involves inherent security and privacy risks. U-wifi does not guarantee that the Services will prevent unauthorized access, malware, interception, data loss, or other security incidents. You are responsible for appropriate security measures for your devices, data, applications, and networks.

Theft or Fraudulent Use. Promptly notify U-wifi if U-wifi-owned Equipment is stolen or you become aware of fraudulent use of your Account. You remain responsible for charges incurred before notice to the extent permitted by law. U-wifi may request reasonable documentation regarding theft or fraud.

9. Suspension and Termination

Suspension or Termination by U-wifi. U-wifi may suspend or terminate all or part of the Services for nonpayment, fraud, material breach of these Terms or the AUP, unlawful use, threats to network integrity or security, interference with other users or networks, or as otherwise permitted or required by law. When reasonably practicable and required by law, U-wifi will provide notice and an opportunity to cure before termination. Billing may continue during a suspension caused by your breach or nonpayment to the extent disclosed to you and permitted by law.

Termination by You. You may terminate the Services using the cancellation method identified by U-wifi on its website, in your Account, or in the applicable Service Document. You must pay amounts incurred through the effective termination date and return U-wifi-owned Equipment as required by Section 5.

Effect of Termination. Termination does not affect rights or obligations that accrued before termination. Provisions that by their nature should survive termination, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND U-WIFI-PROVIDED EQUIPMENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." U-WIFI DISCLAIMS ALL WARRANTIES NOT EXPRESSLY STATED IN THESE TERMS OR AN APPLICABLE SERVICE DOCUMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. U-WIFI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, COMPATIBLE WITH EVERY DEVICE OR APPLICATION, OR AVAILABLE AT EVERY LOCATION, OR THAT ANY PARTICULAR SPEED, COVERAGE, LATENCY, OR PERFORMANCE LEVEL WILL BE ACHIEVED EXCEPT TO THE EXTENT EXPRESSLY STATED IN AN APPLICABLE SERVICE DOCUMENT OR REQUIRED BY LAW. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY U-WIFI CREATES A WARRANTY UNLESS EXPRESSLY INCLUDED IN A WRITTEN SERVICE DOCUMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, U-WIFI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, U-WIFI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO U-WIFI FOR THE AFFECTED SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, INCLUDING LIABILITY TO THE EXTENT CAUSED BY U-WIFI’S WILLFUL MISCONDUCT or where otherwise prohibited by applicable law.

12. Exclusions and Limitations

Some jurisdictions do not permit certain warranty disclaimers or limitations or exclusions of liability. Accordingly, some provisions of Sections 10 and 11 may not apply to you. In those jurisdictions, U-wifi’s liability will be limited to the maximum extent permitted by applicable law.

13. Notices

U-wifi may provide notices to you by email, electronic Account message, bill message or insert, text message if you have consented to receive such messages, posting on the U-wifi website when appropriate, or first-class mail to the contact information associated with your Account. You are responsible for maintaining current contact information. Operational, billing, cancellation, and customer-service communications from you may be made using the contact methods identified on the U-wifi website or in your Account. Formal legal notices to U-wifi must be delivered to the address designated by U-wifi for legal notices on its website or in the applicable Service Document. A notice is effective as provided by applicable law or, if law does not specify, when received.

14. Intellectual Property

The Services, U-wifi-provided Equipment, firmware, software, applications, websites, documentation, and related materials may contain intellectual property owned by U-wifi or its licensors and protected by copyright, trademark, patent, trade-secret, and other laws. Except for the limited right to use the Services and associated software as authorized by U-wifi, these Terms do not transfer any ownership or intellectual-property rights to you. U-wifi and its associated names, logos, product names, service names, domain names, and other marks are owned by U-wifi or their respective owners. You may not use those marks except as authorized in writing or permitted by law.

15. Credit and Payment Information

To the extent permitted by applicable law and reasonably necessary to establish or maintain your Account, prevent fraud, collect amounts due, or determine eligibility for Services or Equipment, U-wifi may obtain, use, or disclose credit, identity-verification, payment-history, or similar information. Any consumer-reporting activity will be conducted in accordance with applicable law. U-wifi may report delinquent payment obligations to credit reporting agencies only to the extent permitted by law.

16. Assignment

U-wifi may assign these Terms or its rights and obligations relating to the Services to an affiliate, successor, purchaser of relevant assets or business operations, or other service provider as part of a financing, reorganization, merger, acquisition, sale, or similar transaction, subject to applicable law. You may not assign these Terms or your rights or obligations relating to the Services without U-wifi’s prior written consent, except where applicable law provides otherwise.

17. Miscellaneous

No Third-Party Beneficiaries. These Terms do not create rights or remedies in any person other than you and U-wifi, except where expressly stated.

Entire Agreement; Prior Terms. These Terms and the Service Documents constitute the entire agreement between you and U-wifi concerning the Services and supersede prior or contemporaneous terms, agreements, representations, or understandings concerning the same subject matter. For existing customers, these Terms replace prior versions of U-wifi’s general terms upon the effective date stated in the notice of these Terms, subject to any rights that cannot be modified without additional consent under applicable law or an existing fixed-term Service Order.

Governing Law and Venue. Except to the extent applicable law requires otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any action that may properly be brought in court will be brought in a state or federal court having jurisdiction in Travis County, Texas, and you and U-wifi consent to personal jurisdiction and venue there, except where applicable consumer law requires another forum.

Waiver. A failure to exercise or enforce a right under these Terms is not a waiver of that right.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Limitation Period. To the extent permitted by applicable law, any claim arising out of or relating to the Services or these Terms must be commenced within one (1) year after the claim accrues. This provision does not shorten any limitations period that applicable law prohibits the parties from shortening.

Headings. Section titles and headings are for convenience only and do not affect interpretation.

Electronic Transactions. You consent to conduct transactions relating to the Services electronically, including acceptance of these Terms, subject to applicable law and any right you may have to withdraw consent to electronic records.
